SpaceX Could Use an IPO Process Originally Designed for Small Biz
SpaceX’s initial public offering promises to be a defining capital-markets event. Elon Musk’s commercial space and satellite company could use an IPO process originally designed for small companies, allowing them to file paperwork confidentially ahead of the offering.
• Confidential IPO filings were created by the 2012 Jumpstart Our Business Startups, or JOBS, Act. The goal was to boost capital markets activity by making it easier for small, high-growth companies to raise capital through IPOs. It allows them to file a draft S-1 registration statement.
• The S-1 describes the business, risks, recent performance, capitalization, and plans for the money raised in detail. The confidential process allows a company and the SEC to go back and forth on the S-1 outside the public’s view. That way, companies can avoid disclosing sensitive information.
• The confidential filing process was expanded in 2017 for larger companies, and Airbnb, Uber Technologies, and Snap were three that took advantage of the change. Ultimately the registration statement is made public, and this process compresses the time between being made public and the IPO.
• When SpaceX’s S-1 is finally public, investors will have a chance to read about its AI strategy and a lot more. SpaceX is responsible for more than half of all orbital launches and for creating the modern space economy by driving down costs with reusable rockets.
What’s Next: After the S-1 is public, a company has to wait 15 days before beginning its roadshow to pitch the offering to money managers. In the case of SpaceX, the amount raised could approach $75 billion, which would surpass the near-$30 billion raised by Saudi Aramco, the largest IPO in history at the time.

Just a reminder to all to please remain civil. Attack ideas, firmly if appropriate, but there is no reason to be unkind to those who express them.
A big help in that regard is not talking about politics here except when it's arguably needed for financial analysis. Which, OK, is admittedly a little more common recently...with OXY trading at $67.10, it looks like March book value is going to be flattered, and the B-S model for options is going to pick a pretty big number for the warrants.

Kyle Bass appeared on CNBC last week and there was a wide ranging discussion about a number of financially related stuff but he also mentioned how the US had to pull out of the Iranian nuclear agreement because Iran was not honoring it. We also recently learned that they had lied about their ballistic missile program. And the Iranian regime also recently slaughtered an estimated 30,000 unarmed civilians as they were peacefully protesting against the government. This is a regime that we should trust? Going back many years a well meaning Neville Chamberlain signed a number of agreements with Germany......

Negotiation has a presumption of good faith.
When one of the parties says mutually contradictory things repeatedly in the same press conference, starts a war in the middle of negotiations, ignores treaties it is a party to, ignores its putative allies and then threatens them for not coming to its aid, promises war crimes on top of its existing war crimes, and in general proves itself completely untrustworthy with virtually every statement it makes, the other party is going to have a hard time signing onto any "deal" on offer.
And that applies generally to anyone attempting to work with this government, since continuous lying and threats is its approach to everything now.

I will make this as non-political as possible only sticking to facts because Kyle Bass's statement is factually inaccurate. He has it exactly backwards.
1. Iran was honoring the agreement. Iran honored the agreement up to the point where the Trump administration stopped honoring the agreement. Of course Iran was going to stop honoring an agreement where the other side wasn't honoring it.
2. The agreement had absolutely nothing to do with ballistic missiles.
Both of these are easily verifiable fact that show Bass is wrong and people listening to him should get better sources of information. Ones that don't make them look like idiots constantly.
Also the Neville Chamberlain comment is quite hilarious considering the actions of the U.S. regarding Russia.

Kyle Bass loves making huge sweeping political statements and bets in which he has know idea what he's talking about or betting on! I listened to him blather on about liberating Hong Kong while he shorted the HKD and sold his perceived collapse of China. He paraded around Miles Kwok as his expert on the subject. I am no fan of the CCP but his takes were comical.
